Introduction

These Terms of Use govern your access to and use of Noropay Services. They apply to all users who access, register for, or use a Noropay Account or any related services.

You should read these Terms carefully and retain a copy for your records. By registering for or using a Noropay Account, you acknowledge that you have accepted and agreed to be bound by these Terms.

If you do not agree to these Terms, you must discontinue your use of Noropay Services.

Deposit Terms & Conditions

These Deposit Terms and Conditions apply to you in addition to the Noropay Account Terms of Use and any other applicable terms governing your use of Noropay Services.

In the event of any conflict between these Terms and the Noropay Account Terms of Use, these Terms will prevail to the extent of the conflict.

Important Disclaimer

Electronic money accounts are not bank accounts. By accepting these Terms of Use, you acknowledge that the Dutch Deposit Guarantee Scheme does not apply to your Noropay Account.

In the unlikely event that Noropay becomes insolvent, you may lose the electronic money held in your Noropay Account. Applicable regulatory requirements are designed to safeguard customer funds and maintain the required level of liquidity.

Your Noropay Account is an electronic money account that enables you to send and receive electronic payments. Electronic money held in your Noropay Account does not expire and does not earn interest.

Opening Your Noropay Account

To use certain Noropay Services, you may be required to create and maintain a Noropay Account. You must provide accurate, complete and up-to-date information during registration and throughout your relationship with Noropay.

Depending on your country of residence, verification status and other factors, your account may be subject to transaction, deposit, payment and withdrawal limits.

You are responsible for maintaining the confidentiality of your account credentials and for all activities carried out through your account.

Noropay may request additional information or documentation to verify your identity and comply with applicable Know Your Customer (KYC), Anti-Money Laundering (AML), fraud prevention and regulatory requirements.

Prohibited Transactions

You must not use Noropay Services to send or receive payments in connection with unlawful, fraudulent or prohibited activities.

Prohibited activities may include, without limitation:

• Tobacco products, prescription drugs, illegal drugs and drug paraphernalia
• Weapons, firearms, ammunition and related prohibited items
• Material that promotes violence, hatred, racism or illegal activities
• Counterfeit goods, government ID replicas or fraudulent documents
• Illegal gambling, sports betting, casino games or poker services
• Pyramid schemes, Ponzi schemes, matrix programmes and similar fraudulent investment schemes
• Activities that infringe third-party intellectual property rights
• Unlicensed financial, payment processing or payment aggregation services
• Any other activity prohibited by applicable law or Noropay policies

This list is not exhaustive. You are responsible for ensuring that your transactions comply with applicable laws and regulations in your jurisdiction.

Noropay may suspend, restrict or terminate your account, refuse to process a transaction, or reverse a transaction where we reasonably believe that the transaction violates these Terms or applicable law.

Fees

Certain Noropay Services may be subject to fees. Applicable fees may vary depending on the service, transaction type, payment method, currency, country of residence and other applicable factors.

Where applicable, fees will be presented to you before you complete a transaction. By proceeding with the transaction, you authorize Noropay to deduct the applicable fees from the relevant amount or account balance.

Transactions, Reversals & Refunds

Once a transaction has been submitted, processing may begin immediately. Depending on the transaction type, cancellation may not always be possible.

Noropay may delay, reject, reverse or cancel a transaction where required by law, regulatory requirements, fraud prevention measures, security controls or these Terms.

Where a refund is applicable, the refund will be processed according to the applicable transaction terms, payment method and relevant refund policy.

Sending, Receiving & Withdrawing Funds

Your Noropay Account allows you to send and receive electronic payments and, where available, withdraw funds using supported withdrawal methods.

You may request a withdrawal at any time, subject to applicable verification requirements, minimum withdrawal amounts, available balance, transaction limits and withdrawal fees.

The electronic money held in a Noropay Account belongs to the individual or legal entity registered as the account holder. You may not assign, transfer or otherwise grant ownership or control of your account to another person.

Third-Party Providers

Noropay may work with trusted third-party service providers to support the delivery of our Services, including payment processors, fraud prevention providers, identity verification providers, customer support providers and data analytics services.

These providers may process information only to the extent necessary to provide the relevant services to Noropay and to comply with applicable legal and regulatory requirements.

Where required by law, Noropay may disclose information to regulators, courts, law enforcement agencies or other authorized authorities.

Liability & Responsibilities

You are responsible for providing accurate information and for using Noropay Services in accordance with these Terms and applicable laws.

You must take reasonable steps to protect your account credentials and notify Noropay promptly if you believe your account has been compromised or used without authorization.

Noropay implements appropriate security measures designed to protect customer information and transactions. However, no electronic transmission or storage system can be guaranteed to be completely secure.

Noropay may suspend or restrict access to Services where necessary to protect users, prevent fraud, comply with legal obligations or maintain the security and integrity of the platform.
